1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Agentcart LLC regarding your access to and use of the AgentCart platform, website, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

AgentCart provides a platform that enables e-commerce stores to become discoverable and purchasable by AI agents through the Agentic Commerce Protocol (ACP) and other supported protocols including Google's AP2 (Agent Protocol 2).

Our Service includes but is not limited to:

• Integration with e-commerce platforms (WooCommerce, Shopify, Etsy, and others)
• Automatic generation of agent-readable product feeds
• API endpoints for AI agent access
• Checkout scaffolding and payment processing integration
• Dashboard and management tools

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

5. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Agentcart LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of your store data, product information, and content. By using the Service, you grant us a limited license to use, store, and display your content solely for the purpose of providing the Service to you.

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

8. Payment Terms

Certain features of the Service may be provided for a fee. By subscribing to a paid plan, you agree to:

• Pay all applicable fees as described in your chosen plan
• Provide current, complete, and accurate billing information
• Authorize us to charge your payment method for recurring fees
• Pay any applicable taxes

We reserve the right to change our pricing with 30 days' notice to existing customers.

9. Cancellation and Refunds

You may cancel your subscription at any time through your account dashboard. Cancellations will take effect at the end of your current billing period.

Refunds are provided at our sole discretion and typically only in cases of Service failure or billing errors.

10. Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTCART LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Unauthorized access, use, or alteration of your content

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the liability, or $100, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Agentcart LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15. Dispute Resolution

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for infringement or misappropriation of intellectual property rights.

The arbitration shall be conducted in Dover, Delaware, and judgment on the award may be entered in any court having jurisdiction thereof.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
